Notice of CMC Proposed Bylaw Provision Change

 

The CMC Board recommends the membership approve the changes proposed for
Article V, Section 5.07 in order to bring our bylaws into the electronic
age. The two changes to this section are to strike the words (or telegraph)
underlined and add (or e-mail) underlined. The vote will take place at the
April general membership meeting. 

 

Call of Meetings

 

Section 5.07. (a)  Meeting of the Board may be called by the President,
Secretary, or any two (2) Directors. Meetings of the Board shall be held on
four (4) days notice by first class mail, postage prepaid, or on forth-eight
(48) hours; notice delivered personally or by telephone, (strike) or
telegraph, (add) or e-mail. Notice of the meeting need not be given to any
Director who signs a waiver of notice or a written consent to holding the
meeting or an approval of the minutes thereof, whether before or after the
meeting, or who attends the meeting without protesting, prior thereto or at
its commencement, the lack or such notice to such Director. All such
waivers, consents, and approvals shall be filed with the corporate records
or made a part of the minutes of the meetings.
